Waypaar is a Software-as-a-Service (SaaS) platform that enables businesses to communicate via the WhatsApp Business API and related services (“Services”).


By accessing or using Waypaar, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


2. Definitions


  1. “Account” means a registered account to access the Services
  2. “Customer” means any individual or entity using Waypaar
  3. “End User” means any recipient of communications sent via Waypaar
  4. “Content” means messages, templates, data, or material transmitted via the Services
  5. “Third-Party Services” means external platforms integrated with Waypaar (e.g., WhatsApp)


3. Eligibility


You must:

  2. Have the authority to bind your organization
  3. Comply with all applicable laws and regulations


4. Account Registration and Responsibilities


4.1 Account Creation


You agree to provide accurate and complete information during registration.


4.2 Account Security


You are responsible for:

  1. Maintaining confidentiality of credentials
  2. All activities under your account
  3. Promptly notifying us of unauthorized access


5. Use of Services


5.1 Permitted Use


You may use Waypaar solely for lawful business communication purposes.


5.2 Prohibited Use


You agree not to:

  1. Send spam, unsolicited, or deceptive messages
  2. Violate WhatsApp or third-party policies
  3. Transmit illegal, harmful, or offensive content
  4. Attempt unauthorized access or disrupt systems
  5. Use the platform for fraudulent or abusive purposes


6. Compliance with WhatsApp Policies


Waypaar operates in conjunction with WhatsApp Business APIs. By using the Services, you agree to comply with applicable policies of Meta (WhatsApp).


Non-compliance may result in:

  1. Suspension of your account
  2. Restriction of messaging capabilities
  3. Termination without liability to the Company


7. Fees and Payments


7.1 Subscription Fees


Access to certain features may require payment of subscription fees.


7.2 Billing


You agree to:

  1. Provide accurate billing information
  2. Pay all applicable charges, including taxes


7.3 Non-Payment


Failure to pay may result in:

  1. Suspension or termination of Services


8. Intellectual Property


8.1 Ownership


All rights, title, and interest in Waypaar, including software, design, and branding, remain with ERPICA.


8.2 License


We grant you a limited, non-exclusive, non-transferable license to use the Services.


9. Customer Data


9.1 Ownership of Data


Customers retain ownership of their data.


9.2 Processing


We process data in accordance with our Privacy Policy.


9.3 Responsibility


Customers are responsible for:

  1. Lawful collection of End User data
  2. Obtaining required consents


10. Third-Party Services


Waypaar integrates with third-party platforms, including WhatsApp.


We are not responsible for:

  1. Availability or performance of third-party services
  2. Changes in their policies or APIs


11. Service Availability


We strive to ensure high availability but do not guarantee uninterrupted access.


We may:

  1. Perform maintenance
  2. Modify or discontinue features


12. Suspension and Termination


12.1 Suspension


We may suspend access if:

  1. You violate these Terms
  2. Required by law or third-party providers


12.2 Termination


We may terminate your account:

  1. For repeated violations
  2. For non-payment
  3. At our discretion with notice


12.3 Effect of Termination


Upon termination:

13. Limitation of Liability


To the maximum extent permitted by law:

  2. Our total liability shall not exceed the amount paid by you in the last 3 months

15. Disclaimer of Warranties


The Services are provided “as is” and “as available” without warranties of any kind, including:

  1. Fitness for a particular purpose
  2. Non-infringement
  3. Uninterrupted or error-free operation


16. Data Security


We implement reasonable security measures; however, you acknowledge that:

  1. No system is completely secure
  2. You use the Services at your own risk


17. Confidentiality


Both parties agree to:

  1. Protect confidential information
  2. Not disclose it without consent, except as required by law


18. Force Majeure


We are not liable for delays or failures caused by events beyond our control, including:

  1. Natural disasters
  2. Internet outages
  3. Government actions


19. Governing Law and Jurisdiction


These Terms shall be governed by the laws of India.


Any disputes shall be subject to the jurisdiction of courts located in Gurgaon, Haryana.


20. Changes to Terms


We may update these Terms from time to time.


Continued use of the Services constitutes acceptance of updated Terms.
